Terms of Service for Pul Ai

Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and UAB Dony Media ("Company," "we," "our," or "us") concerning your access to and use of the Pul Ai mobile application (the "App").

License and Permitted Use

Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install the App on devices you own or control
• Use the App for personal, non-commercial purposes only

License Restrictions

You agree NOT to:

• Copy, modify, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, lend, sell, redistribute, or sublicense the App
• Remove, alter, or obscure any proprietary notices on the App
• Use the App for any commercial purpose
• Use the App in any way that violates applicable laws or regulations
• Use the App to provide medical services or advice to others
• Represent App measurements as medical-grade or clinically accurate
• Integrate the App with medical devices or clinical systems
• Use the App in clinical trials or medical research without our express written permission

User Obligations and Acceptable Use

Your Responsibilities

You agree to:

• Provide accurate information when using the App
• Use the App in accordance with these Terms
• Comply with all applicable laws and regulations
• Use the App only for lawful, personal wellness purposes
• Keep your device and App updated with the latest security patches
• Not share your device with unauthorized users if it contains health data

Prohibited Uses

You shall NOT:

• Use the App for medical diagnosis or treatment
• Rely on the App in medical emergencies
• Use the App to make medical decisions without consulting healthcare professionals
• Use the App if you are under 18 years of age
• Use the App to harm, harass, or impersonate others
• Attempt to gain unauthorized access to App systems or data
• Introduce viruses, malware, or harmful code
• Use automated systems (bots, scrapers) to access the App
• Collect or harvest user data from the App

Subscriptions and Payments

Subscription Plans

The App offers subscription-based access to premium features. Subscriptions are processed through Apple's App Store and subject to Apple's Terms of Service.

Billing and Renewal

• Automatic Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Billing: You will be charged through your Apple ID account
• Price Changes: We reserve the right to change subscription prices with reasonable notice
• No Refunds: All sales are final. We do not provide refunds except as required by law

Free Trials

• Free trials may be offered for new subscribers
• You will be charged when the trial ends unless you cancel before the trial period expires
• Only one free trial per user
• We reserve the right to determine trial eligibility

Cancellation

You may cancel your subscription at any time through your Apple ID settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of the paid period.

Intellectual Property Rights

Our Ownership

The App and all content, features, and functionality (including but not limited to software, text, displays, images, video, audio, design, algorithms, and user interface) are owned by UAB Dony Media and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Rights to Your Data

You retain all rights to your personal health data collected through the App. However, you grant us a license to use anonymized, aggregated data for App improvement purposes.

Trademarks

"Pul Ai," our logo, and other marks are trademarks of UAB Dony Media. You may not use these marks without our express written permission.

Privacy and Data Protection

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to our collection and use of your information as described in the Privacy Policy.

Third-Party Services

Apple App Store

Your use of the App is subject to Apple's App Store Terms of Service. In the event of conflict between these Terms and Apple's terms, Apple's terms shall prevail regarding App Store-related matters.

Third-Party Integrations

The App may integrate with third-party services including:

• Apple Health (HealthKit): Optional integration with your explicit consent
• Superwall: For subscription management
• Apple In-App Purchases: For payment processing

These integrations are subject to the respective third parties' terms and privacy policies. We are not responsible for third-party services.

App Updates and Modifications

Updates

We may release updates, upgrades, or new versions of the App. You agree to install updates to continue using the App. Updates may:

• Add new features
• Fix bugs or security issues
• Modify or remove existing features
• Change the App's appearance or functionality

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms in the App
• Updating the "Last Updated" date

Your continued use after changes constitutes acceptance of the modified Terms.

Disclaimers and Limitation of Liability

NO WARRANTIES

LIMITATION OF LIABILITY

Basis of the Bargain

You acknowledge that we have set our prices and entered into these Terms in reliance upon the disclaimers of warranty and limitations of liability set forth herein, and that the same form an essential basis of the bargain between you and us.

Applicable Law

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless UAB Dony Media, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

1. Your use or misuse of the App
2. Your violation of these Terms
3. Your violation of any rights of another person or entity
4. Your violation of any applicable laws or regulations
5. Any medical decisions or actions you take based on App data
6. Any claim that you relied on the App for medical purposes

Termination

By You

You may stop using the App at any time by uninstalling it from your device. If you have an active subscription, you must cancel it separately through your Apple ID settings.

By Us

We reserve the right to:

• Suspend or terminate your access to the App at any time, with or without cause
• Discontinue the App entirely with 30 days' notice
• Refuse service to anyone for any reason

Effect of Termination

Upon termination:

• Your license to use the App immediately ends
• You must uninstall the App from all devices
• All disclaimers, limitations of liability, and indemnification provisions survive termination
• Active subscriptions may be honored through the end of the paid period

Age Restrictions

The App is intended for users 18 years of age or older. By using the App, you represent that you are at least 18 years old. We do not knowingly collect information from minors under 18.

Governing Law and Jurisdiction

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions.

Jurisdiction

Any disputes arising from these Terms or use of the App shall be subject to the exclusive jurisdiction of the courts of Kaunas, Lithuania, except as provided below for EU consumers.

EU Consumer Rights

If you are a consumer located in the European Union:

• You may have additional rights under EU consumer protection law
• Nothing in these Terms affects your statutory rights as an EU consumer
• You may bring proceedings in your country of residence
• Mandatory EU consumer protection laws apply regardless of governing law choice

Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at [email protected] to attempt to resolve the dispute informally for at least 30 days.

Arbitration (Non-EU Users)

For users outside the EU, disputes that cannot be resolved informally may be subject to binding arbitration in accordance with Lithuanian arbitration law.

EU Users

EU users retain the right to bring disputes before competent courts and are not required to submit to arbitration.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and UAB Dony Media regarding use of the App and supersede all prior agreements and understandings.

No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

Special Provisions for Healthcare Professionals

If you are a healthcare professional using the App:

1. No Clinical Use: You acknowledge this App is not suitable for clinical use
2. No Patient Care: You will not use this App in providing patient care
3. Professional Standards: You will adhere to your professional standards and not represent the App as a medical device
4. Liability: You assume full liability for any use of App data in professional contexts

Export Control

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.
